Terms of Service

These Terms of Service ("Terms") govern your use of the Harper's Ferry Market LLC vendor and consignor management platform (the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.

1. Access and Eligibility

Access to the Platform is granted solely by the store administrator. There is no self-registration. You must be at least 18 years of age to participate as a vendor or consignor. Your account is personal and non-transferable.

2. Vendor Responsibilities

• Vendors are responsible for the accuracy of their inventory records and item descriptions.
• Monthly booth rent is due as agreed with the administrator. If monthly sales do not cover rent, the outstanding balance is subject to terms agreed upon individually with the administrator.
• Vendors agree to maintain their booth space in accordance with market standards.
• Vendors are responsible for ensuring their items comply with all applicable laws and regulations.

3. Consignor Responsibilities

• Consignors warrant that all items submitted for consignment are owned by them and free of any liens or encumbrances.
• Items not sold within 90 days will be subject to clearance pricing or must be retrieved by the consignor. The administrator will notify consignors prior to clearance.
• Consignors are responsible for retrieving unsold items upon request. Items not retrieved within a reasonable time may be donated or disposed of at the administrator's discretion.
• Items must be in sellable condition at the time of intake.

4. Pricing and Markdowns

Items are subject to automatic price reductions at 30, 60, and 90 days from the intake date, as set by the administrator. Markdown percentages are established at the time of item intake and may be adjusted by the administrator with notice.

5. Payouts and Reconciliation

• Consignor payouts are calculated monthly after deducting the agreed commission percentage.
• Vendor payouts are calculated monthly after deducting monthly booth rent.
• Payouts are made via the method on file (check, PayPal, cash, or Venmo) and are processed at the administrator's discretion, typically within the first two weeks of the following month.
• The Platform's sales records are the authoritative source for payout calculations. Square point-of-sale records are the source of truth for all transactions.

6. Tax Reporting

Vendors and consignors who receive $600 or more in annual payouts will receive an IRS Form 1099 as required by law. You are solely responsible for reporting and paying any taxes owed on your earnings.

7. Discounts and Coupons

The administrator may apply store-wide, category-level, or seller-specific discounts at their discretion. Affected sellers will be notified when a discount impacts their items. Discounts are applied at the point of sale via Square and reflected in payout calculations.

8. Account Termination

The administrator may suspend or terminate any account at any time. Upon termination, outstanding balances will be reconciled and paid according to standard payout procedures. Consignors must retrieve their unsold items within 14 days of termination notice.

9. Limitation of Liability

Harper's Ferry Market LLC is not liable for loss, theft, or damage to consigned or vendor items while on the premises beyond what is covered by the market's insurance policy. The Platform is provided as-is for record-keeping purposes. We are not liable for errors resulting from incorrect data entry or Square reporting discrepancies.

10. Changes to These Terms

We may update these Terms from time to time. The effective date at the top of this page will reflect the most recent revision. Continued use of the Platform after any changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of West Virginia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of West Virginia.
